END USER LICENSE AGREEMENT (EULA) TechNerd App TechNerd SVCS, LLC 289 Great Lake Drive, Middletown, VA 22645

Effective Date: March 30, 2026

This End User License Agreement (“EULA”) is a binding legal agreement between TechNerd SVCS, LLC (“Company,” “we,” “us,” or “our”) and you (“User,” “you,” or “your”). By downloading, installing, accessing, or using the TechNerd mobile or desktop application (the “App”), you acknowledge that you have read, understood, and agree to be bound by this EULA.

IMPORTANT: This App is provided exclusively for the internal business use of authorized employees and contractors of TechNerd SVCS, LLC. Use by any other person or entity is strictly prohibited. If you are not an authorized employee or contractor of the Company, you must immediately cease all use and uninstall the App.

1. License Grant

Subject to your ongoing compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App solely on Company-approved devices and solely for the Company’s internal business purposes. This license is personal to you and may not be shared or transferred.

2. Restrictions

You agree that you will not:

  • Use the App for any purpose other than the Company’s internal business operations.

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the App (except to the limited extent permitted by applicable law and only after first requesting such permission in writing from the Company).

  • Remove, obscure, or alter any copyright, trademark, or proprietary notices.

  • Rent, lease, lend, sell, sublicense, assign, or transfer the App or your rights under this EULA.

  • Use the App in any manner that violates any applicable federal, state, or local law or regulation.

  • Share your login credentials or allow any unauthorized person to access the App.

3. Ownership and Intellectual Property

The App and all content, features, and functionality (including all intellectual property rights therein) are and shall remain the exclusive property of TechNerd SVCS, LLC and its licensors. This EULA does not transfer any ownership rights to you.

4. User Responsibilities and Conduct

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to use the App only on devices issued or approved by the Company and in accordance with all Company policies.

5. No Data Collection

The App is designed and operated exclusively for internal Company use and does not collect, store, transmit, or process any personal information or user data from you or any other user. No analytics, tracking, or third-party services that collect data are used.

6. Termination

The Company may terminate or suspend your access to the App at any time, with or without notice, for any reason, including if you breach this EULA. Upon termination, you must immediately cease all use and delete all copies of the App. Sections 3, 7, 8, 9, and 10 shall survive termination.

7. Disclaimers and Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS EULA OR THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE COMPANY’S TOTAL LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of your breach of this EULA or your misuse of the App.

10. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Frederick County, Virginia. You waive any objection to venue or jurisdiction in such courts.

11. Miscellaneous

  • This EULA constitutes the entire agreement between you and the Company and supersedes all prior understandings.

  • If any provision is held invalid, the remainder shall continue in full force.

  • The Company may update this EULA at any time; continued use after changes constitutes acceptance.

  • This EULA is for internal Company use only and is not intended for consumers or the general public.

BY USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
